• Comply with all applicable laws and regulations

4. Intellectual Property

4.1 Client Content

You retain all ownership rights to content you provide to us. By providing content to us, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify the content solely for the purpose of providing our services to you.

4.2 Pixel&Code Content

Unless otherwise specified in a written agreement, Pixel&Code retains ownership of all intellectual property rights in the designs, code, and other materials created by Pixel&Code. Upon full payment, clients receive a non-exclusive license to use the deliverables for their intended purpose.

4.3 Open Source Components

Our services may incorporate open-source software components. These components are subject to their respective licenses, which will be provided upon request.

5. Payment Terms

Payment terms will be specified in the service agreement or statement of work. Unless otherwise agreed:

• A deposit may be required before work begins
• Invoices are due within 14 days of issuance
• Late payments may incur additional fees
• We reserve the right to suspend services for non-payment

6. Project Timeline and Deliverables

Project timelines and deliverables will be outlined in the service agreement. While we strive to meet all deadlines, timelines may be adjusted due to:

• Changes in project scope
• Delays in receiving client feedback or materials
• Unforeseen technical challenges
• Force majeure events

7. Limitation of Liability

To the maximum extent permitted by law, Pixel&Code shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services

8. Termination

Either party may terminate the service agreement under the conditions specified in the agreement. Upon termination:

• All outstanding payments become immediately due
• Pixel&Code will deliver all completed work to the client
• Any licenses granted will remain in effect if payment has been made in full

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
